Any messages in .xsession-errors or stderr? Does the panel crash as
well or only xterm? Do you use the session manager (somebody, I think
it was Danny, reported a problem with XFree86 >= 4.3, xfce4-session
and xterm some time ago)? Does it work if you remove the
systemload-plugin from the plugins directory?

What kind of "old work horse" you are using exactly?
